Eurazeo is a company incorporated under the laws of France, having its registered office at 66 rue Pierre Charron - 75008 Paris, registered with the Paris Trade and Companies Registry under number 692 030 992 (hereinafter "Eurazeo"). Eurazeo publishes the four portals described in these Terms and Conditions of Use (hereinafter the "Platform").

 

 

Article 1 - Purpose of the Terms and Conditions of Use

 

 

The purpose of these General Terms and Conditions of Use (hereinafter the "GTCU") is to define the conditions under which Eurazeo makes the Platform available to users (hereinafter the "Users") and the manner in which Users may access and use the Platform.

 

Any User wishing to access and use the Platform must read and accept the Terms and Conditions of Use without reservation. If the User does not wish these GCU to apply to his/her use of the Platform, he/she must immediately stop consulting and using the Platform.

 

When registering on the Platform, the User is invited to read and accept these GCU.

 

 

Article 2 - Purpose of the Platform and Platform functions

 

 

Eurazeo publishes the Platform from which Users can subscribe to units in alternative investment funds managed by Eurazeo and/or other management companies (hereinafter the "Fund(s)") and access information and services on the Platform.

 

 

2.1 - User status

 

 

Users have one of the three following statuses when they invest in one of the Funds offered on the Platform:

 

Private Investor" status, when the User is a person using the Platform to subscribe, in his/her own name and on his/her own behalf, to units in a Fund.

Institutional Investor" status, when the User is a legal entity or natural person using the Platform to subscribe to units in an institutional fund in their own name and on their own behalf.

Partner" status, when the User is an independent organisation (bank, insurance company, etc.) using the Platform to send Eurazeo information relating to the subscription of fund units by one of its clients.

 

 

2.2 - Portals and services offered by the Platform

 

 

The Platform consists of four (4) different portals, requiring registration and connection by the User. These four (4) portals are :

Access to these different portals depends on the User's status, as defined in article 2.1 of these Terms and Conditions.

 

The Platform is an interface enabling Private Investors, Institutional Investors and Partners (hereinafter referred to collectively as "Subscribers") to send Eurazeo the information required to (i) subscribe to Fund units, or (ii) market Fund units.

 

Depending on the status of the Platform Users: "Private Investor", "Institutional Investor" or "Partner", as defined in article 2.1 of these Terms and Conditions, the Platform will be used via one of the portals mentioned above, respectively the portal for Private Investors, the portal for Institutional Investors and the portal for Partners.

 

 

Article 3 - Conditions of access to the Platform

 

 

3.1 - How to access the Platform

 

 

Access to and use of the Platform by the User is free of charge.

 

Access to the information and services on the Platform is subject to registration by creating a User account on one of the portals mentioned above, depending on the User's status under the conditions defined in article 4 of these GCU.

 

 

3.2 - Availability of the Platform

 

 

The User is personally responsible for setting up the IT and telecommunications resources required to access the Platform. The User is responsible for any telecommunications costs incurred when accessing the Internet at the time of using the Platform.

 

Eurazeo uses its best efforts to ensure that the Platform is accessible 24 hours a day, seven days a week.

 

However, Eurazeo may make any necessary and useful changes and improvements to the Platform.

To this end, Eurazeo reserves the right to temporarily or permanently close the Platform or access to one or more services in order to carry out maintenance operations related to technological developments or necessary for the continuity of services.

Eurazeo will endeavour to give Users prior notice of planned maintenance operations.

 

In the event of a force majeure event or an event beyond Eurazeo's control causing unavailability of the Platform and/or the functionalities available to the User, Users will be informed as soon as possible of the situation and its resolution.

 

In all cases, the unavailability of the Platform or its services does not entitle the User to any compensation, and Eurazeo may not be held liable for the consequences of the Platform's unavailability.

 

 

Article 4 - Creating an account on the Platform

 

 

4.1 - How to create an account on the Platform

 

 

Any User who wishes to create an account on the Platform must meet several conditions prior to creating this account:

(i) for Partners, they must be approved to provide the financial investment advice service;(ii) for Private Investors, they must be of legal age and not under guardianship, curatorship or legal protection, in other words, they must have legal capacity;(iii) they must be duly authorised and have the necessary powers if they represent a legal entity.

 

The creation of a User account is only possible if the User provides the following personal data: surname, first name, postal address, email address and telephone number.

 

When the Subscriber is a Partner, the personal data entered on the Platform and transmitted to Eurazeo is that of the Partner's client.

 

When the Subscriber is a Private Investor, the information completed on the Platform and transmitted to Eurazeo relates to the Subscriber him/herself.

 

When the Subscriber is an Institutional Investor, the information completed on the Platform and sent to Eurazeo relates to the legal entity that the Subscriber represents, as well as its manager or signatory.

 

Please note that the completion of a subscription form on the Platform does not constitute a subscription to units of a Fund and that Eurazeo reserves the right to ask the Subscriber for any additional supporting documents.

 

When creating an account on the Platform, the User must choose an identifier and a password. The User is solely responsible for the confidentiality of his/her login and password, and Eurazeo may not be held liable if the User loses, forgets or discloses them to a third party.

 

User registration on the Platform is not complete until the User enters on the Platform the verification code sent by Eurazeo to the mobile phone or email address indicated.

 

Subsequently, if the Subscriber wishes to complete a subscription form and a "know your customer" questionnaire in order to send Eurazeo a request to subscribe to units of a Fund, a number of documents must be sent to Eurazeo. Depending on the nature of the Subscriber, some of the items below may have to be sent by the Subscriber to Eurazeo, on behalf of his or her client:

Eurazeo reserves the right to request any additional supporting documents.

The information concerning the Subscriber requested above by Eurazeo enables Eurazeo to comply with its obligations under applicable regulations concerning customer knowledge and the fight against money laundering. More specifically, this information enables Eurazeo to analyze the Subscriber's financial situation, experience, understanding and risk appetite.

 

 

4.2 - User obligations when creating an Account

 

 

The User declares and guarantees (i) the truthfulness and accuracy of the information provided when creating his/her User space, (ii) that he/she will maintain the accuracy of the information provided by making any necessary changes, and (iii) the truthfulness and accuracy of the information provided when supplying the elements required to subscribe to units in the Funds.

 

Eurazeo is in no way responsible for the accuracy of the data provided by the User and may not be held liable for the consequences of the User's failure to meet this obligation.

 

Each User may only have one account. Consequently, the User undertakes not to create or use on the Platform any account other than the one initially created and allocated, either under his/her own identity or that of a third party.

The creation or use of new accounts under the User's own identity or that of a third party without having requested and obtained Eurazeo's prior written authorization may result in the immediate suspension of the account(s) in question without notice.

 

In the event that the User becomes aware that another person has accessed his/her account, the User shall immediately inform Eurazeo, using the contact information provided in article 16 of these GTC.

 

 

Article 5 - Rules for using the Platform

 

 

5.1 - General provisions

 

 

Users undertake to use the Platform under the conditions set out in these GCU and in accordance with the applicable laws and regulations. Users may not make illegal use of the Platform or its functionalities.

 

Under the same conditions, the User shall also refrain from any diversion of the Platform or its functionalities from the use for which it was designed or from any behaviour likely to disrupt the operation of the Platform or its functionalities.

 

In this respect, the User undertakes to regularly update his/her data to ensure that it is accurate.

 

In the event of a repeated or serious breach of the rules governing use of the Site by the User, Eurazeo reserves the right to suspend access to the account concerned, after contacting the User concerned to allow him or her to present his or her observations.

 

If the User demonstrates that the repeated or serious violations of the rules of use of the Platform that led to the suspension of access to the account in question are due to the actions of a third party or to force majeure, Eurazeo may decide to restore access to said account. Following suspension, Eurazeo may also decide to permanently terminate access to the registered User's account.

 

Eurazeo reserves the right to permanently delete the account of an inactive User after notifying the Registered User concerned by e-mail. Inactivity is defined as the absence of any connection to the Registered User's account for a period of two (2) years insofar as the User has not contacted Eurazeo via the appropriate communication channel.

 

In the event of a breach of these rules of use of the Platform, Users may be held liable in accordance with ordinary law.

 

 

5. 2 - Confidentiality

 

 

Users will have access to detailed information about the Funds: regulations, key investor information documents, tax notes, sales brochures, etc.

 

All such information, whatever its nature and/or medium, must be considered and treated as confidential (hereinafter referred to as "Confidential Information") for as long as such information has not fallen into the public domain.

 

Users therefore undertake not to disclose all or part of the Confidential Information to third parties and not to use it for any purpose other than that of subscribing to units in the Funds, as described in the operation of the Platform.

 

 

5.3 - Obligation to provide information and documentation

 

 

On the Platform, the Subscriber will find all the regulatory documentation (regulations, key investor information document, sales brochure) and must have read this regulatory documentation in advance about the Fund to which they are considering subscribing. By accepting these Terms and Conditions, the Subscriber certifies that he/she understands the risk profile of the Fund and the illiquid nature of his/her investment.

 

By these GTCU, the Partner certifies that any subscription request for Fund units made on behalf of one of its clients on the Platform will follow the provision of investment advice by the Partner and the transmission by the Partner to its client of the regulatory documentation (regulations, key investor information document, sales brochure), said client having to have read the regulatory documentation before the Partner uses the Platform to transmit a subscription request.

 

 

Article 6 - Platform remuneration

 

 

Access to and registration on the Platform are free of charge.

 

However, when subscribing to units of a Fund, the Subscriber pays Eurazeo an entry fee set by the Fund rules, which amount is negotiable.

In addition, Eurazeo will receive an annual management fee calculated on the basis of the amount subscribed to the Fund.

 

Information on Eurazeo's remuneration and the costs borne by the Funds is provided in the Fund's regulatory documentation (regulations, key investor information document, sales brochure) and in the subscription form signed by the Subscriber.

 

 

Article 7 - Eurazeo's obligations

 

 

When Eurazeo receives a subscription order for Fund units via the Platform, Eurazeo undertakes to:

send the subscriber, without delay and on a durable medium, essential information concerning the execution of the order; and send the subscriber, on a durable medium, a notice confirming the execution of the order as soon as possible and no later than the first business day following its execution.

 

The notice of confirmation of execution of the order sent by Eurazeo to the Subscriber will mention (i) the name or any other designation of the client, if applicable, (ii) the date of subscription for Fund units, (iii) the quantity of Fund units subscribed, (iv) the unit price of Fund units subscribed, (v) the total price of Fund units subscribed, and (vi) the total amount of commissions and fees billed to the Subscriber for the execution of the order to subscribe for Fund units.

 

 

Article 8 - Limitation of Eurazeo's liability

 

 

Users acknowledge that their use of the Platform is at their sole risk. Under no circumstances shall Eurazeo be held liable for any use made of the Platform by the User or for any damage that may result therefrom for the User or for third parties, in particular for any virus or malicious software that may be transmitted to the User.

 

In this regard, Users are informed that, due to the intrinsic characteristics of the Internet, data transmitted via the Platform are not protected against the risks of misappropriation and/or piracy, for which Eurazeo cannot be held liable under any circumstances. It is the User's responsibility, where applicable, to take all appropriate measures to protect his or her computer and/or data, including by installing the appropriate technical tools, such as antivirus software, firewalls, automatic cleaning tools, etc. Eurazeo cannot be held liable for any such measures.

 

Despite the care taken in designing the content, it may nevertheless contain errors, inaccuracies, omissions or data included beyond Eurazeo's control. Eurazeo may not be held liable for inaccuracies in the information contained on the Platform or for content posted by Users or third parties.

 

In any event, Users acknowledge and agree that Eurazeo may not be held liable for any misuse of their terminal or for any use of the Platform that does not comply with the GTCU.

 

More generally, Eurazeo shall under no circumstances be held liable for a User's failure to comply with applicable legislation when using the Platform or accessing the Platform's features.

Furthermore, Eurazeo disclaims all liability for the use made of the Platform by Users.

 

Users are solely liable for any direct or indirect damage they may suffer as a result of inaccurate, incomplete and/or misleading information they provide when registering or failing to update such information, and they shall bear the consequences thereof.

 

The Platform may refer Users to other websites published by third parties via hypertext links provided by Eurazeo. Eurazeo has no control over these sites and cannot be held responsible for their content. It is the User's responsibility to read the general terms and conditions, privacy policy, cookie policy and/or terms and conditions of sale of these sites.

 

 

Article 9 - Protection of personal data

 

 

Users are hereby informed that Eurazeo may collect some of their personal data when they access and use the Platform. Eurazeo acts as data controller for this purpose.

Eurazeo undertakes to comply with the provisions of European Regulation 2016/679 of April 27, 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data ("RGPD") and Act No. 78-17 of January 6, 1978 on Data Processing, Data Files and Individual Liberties, as amended.

 

 

Article 10 - Intellectual property

 

 

The User acknowledges and agrees that the intellectual property rights relating to the Platform, its form, code and structure, as well as the content contained therein, are the exclusive property of Eurazeo, except for those elements for which Eurazeo has obtained an operating license.

 

Eurazeo grants the User, free of charge and for the entire world, a personal, non-exclusive, non-transferable and revocable right to use the Platform, with regard to the content contained therein, for its own purposes and within the limits of what is strictly necessary for it to be provided with the services available on the Platform. This licence to use is granted to the exclusion of any other purpose and only for the period during which the User uses the Platform.

 

Users are expressly prohibited from reproducing, representing, adapting, exploiting or extracting any of the content of the Platform without Eurazeo's prior express permission.

 

Eurazeo's trademarks and logos appearing on the Platform are registered trademarks. Pursuant to articles L. 713-2 et seq. of the French Intellectual Property Code, any total or partial reproduction or representation, modification or deletion of these trademarks is prohibited without the express authorization of their owners.

 

 

Article 11 - Partial invalidity

 

 

In the event that one or more stipulations of the GCU are deemed invalid by a competent court, the other clauses will retain their scope and effect.

 

The stipulation considered invalid will be replaced by a stipulation whose meaning and scope will be as close as possible to the clause thus invalidated, while remaining compliant with the applicable legislation and the common intention of the parties.

 

 

Article 12 - Complaints

 

 

In its capacity as a portfolio management company authorized by the Autorité des marchés financiers (AMF) under number GP-97123, Eurazeo has established and maintains a procedure for the reasonable and prompt handling of complaints from its customers.

Article 13 - Updating the GCU

 

 

Eurazeo reserves the right to modify these Terms and Conditions of Use at any time, with any changes deemed necessary and useful. Users will be informed by Eurazeo of any substantial changes to the GCU.

 

The amended Terms and Conditions are binding on Users as soon as they are posted online, and any continued access or use of the Platform constitutes acceptance of the amended Terms and Conditions. If Users do not wish to accept the new version of the GCU, they are responsible for requesting the deletion of their account and ceasing all access to and use of the Platform.

 

 

Article 14 - Duration and termination

 

 

These GCU apply to Users throughout their access, browsing and use of the Platform. They cease to apply when the User ceases to access, browse and use the Platform or deactivates his/her account.

 

Users may terminate these GCU at any time by closing their account.

 

Pursuant to Article 5.1 of these GTC, if the User fails to comply with these GTC and/or commits any breach of applicable laws and regulations, Eurazeo is entitled to automatically suspend or terminate the User's account. Eurazeo may also refuse the User access to all or part of the Platform in the future, without prejudice to any damages that Eurazeo may be entitled to claim.

 

 

Article 15 - Applicable law and jurisdiction

 

 

These GCU are governed, interpreted and applied in accordance with French law. Subject to the public policy provisions applicable in matters of jurisdiction, the courts within the jurisdiction of the Paris Court of Appeal shall have sole jurisdiction to hear any dispute relating to these GTCU.

Failing amicable resolution, the dispute will be brought before the French courts.
